style="font-size:16px"><strong><span style="line-height: 150%;">第一条 定义条款</span></strong><strong></strong></span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>（一）平台：</strong>指由乙方或其关联方运营/管理的，为商户和用户提供活动信息发布、在线报名、线上支付等技术服务的网络服务平台，包括但不限于“搭+”小程序。</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>（二）活动信息：</strong>甲方通过平台发布的，在平台页面上展示的甲方所举办活动或提供的服务的具体信息。</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>（三）管理功能：</strong>指乙方在“搭+”小程序内为甲方提供的，用于管理活动信息、处理订单、核销凭证、查看数据、发起提现等操作的各项功能界面。</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>（四）入场凭证/电子票券：</strong>指用户通过平台成功报名后获取的，作为其参与甲方所提供活动的消费凭证，通常表现为二维码等形式。</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>（五）用户实付款项：</strong>用户通过平台为报名参加甲方活动而实际支付的全部款项。</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>（六）结算款项：</strong>指用户实付款项在扣除本协议约定的各项费用后，应支付给甲方的款项。</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>（七）关联方： </strong>指任何一方现在或将来控制、受其控制或与其处于共同控制下的任何公司或其他实体 。</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>（八） 不可抗力：</strong>指任何一方不能合理控制、不可预见或即使预见亦无法避免的事件，该等事件妨碍、影响或延误任何一方根据本协议履行其全部或部分义务。该事件包括但不限于：</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px">（a） 地震、台风、洪水、火灾、爆炸等严重自然灾害；</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px">（b） 战争、恐怖袭击、内乱、暴动；</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px">（c） 政府行为、法律法规或政策的重大变更、司法或行政命令；</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px">（d） 全国性或行业性的大规模网络瘫痪、通讯线路中断、黑客攻击；</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px">（e） 影响公共利益的流行性疾病、瘟疫等公共卫生事件。</span></p><p style="font-size:16px">乙方通过“搭+”小程序等载体，为甲方提供各项平台技术服务，包括但不限于活动信息发布、在线报名与订单处理、电子票券生成与核销、资金代收转付、数据查询、提现管理等。</span></p><p style="text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"> </span></p><p style="text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong><span style="line-height: 150%;">第三条 资质审查</span></strong><strong></strong></span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px">甲方应为依法设立并有效存续的法人、非法人组织，或具备完全民事行为能力的自然人。甲方应根据平台要求，主动提交其经营所需的全部真实、有效、最新的证明文件。因甲方资质问题导致的一切责任与损失，由甲方自行承担。</span></p><p </strong><strong>项进行结算时，从用户实付款项总额中直接扣除上述0.6%的费用后，将剩余款项计入</strong><strong> </strong><strong>甲方的平台账户余额。</strong><strong></strong></span></p><p 活动顺利结束的标志是：活动已按其发布的时间正常举行完毕，且未发生导致大量 用户投诉或退款的重大服务质量或安全问题。若活动存在争议，乙方有权暂停结算，待 争议解决后再行处理。</span></p><p style="text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>（三）提现周期与方式</strong><strong></strong></span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>1. style="text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>（五） 税务与发票责任</strong><strong></strong></span></p><p 甲方确认，其通过本平台获得的所有结算款项均应视为其经营性收入。甲方应作为独立的纳税主体，自行、及时、足额地履行与本协议项下收入相关的所有纳税申报及缴纳义务（包括但不限于增值税、个人所得税等）。</strong><strong></strong></span></p><p 退款处理规则</strong><strong></strong></span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>1. 政策制定与遵守：</strong>甲方有权在发布活动时，自主设定该活动的退款政策（例如：随时可退、有条件可退、不可退款），该政策将对用户清晰展示。甲方必须严格遵守并履行自己设定的退款政策。</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>2. 强制退款情形：</strong>无论甲方设定何种退款政策，在发生以下任一情况时，甲方均必须同意向用户全额退款：</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px">（a） 因甲方自身原因（如决策变更、资源不足等）主动取消或对活动关键信息（如时间、地点、核心内容）作出重大变更，且用户不接受变更方案的；</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px">（b） 因不可抗力（定义见本协议第十五条）导致活动无法举行的；</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px">（c） 经乙方独立判断，有合理理由相信活动内容涉嫌违法、违规、或严重违反平台规则（例如存在欺诈、虚假宣传、危害用户安全等情形），并由乙方主动下架该活动的；</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px">（d） 因甲方服务存在严重瑕疵（如活动内容与描述严重不符、未能提供核心服务等），导致用户提出合理退款要求的。</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>3. 平台介入权：若甲方未能按照其设定的政策或本协议规定的强制退款情形</strong>，及时、妥善地处理用户的合理退款请求，乙方有权（但无义务）基于保护用户权益和平台声誉的需要，进行独立判断并介入处理。在行使平台介入权时，乙方有权代表甲方向用户直接执行退款（即“先行赔付”）。甲方不可撤销地同意，乙方在执行先行赔付后，有权从甲方的待结算款项或平台账户余额中，直接扣除与退款金额相等的款项。若余额不足，乙方保留向甲方继续追偿的权利。</span></p><p style="font-size:16px"><strong>（一）安全保障义务：甲方作为活动的唯一策划者、组织者和执行者，对活动的整体安全性负全部、最终的责任。因活动本身（包括场地、设施、流程设计、组织管理、人员操作等任何环节）的任何疏忽或问题，造成用户或任何第三方人身或财产损害的，全部法律责任和经济赔偿责任均由甲方独立承担，与乙方无关。</strong>对于具有一定风险的活动，甲方必须为所有参与者购买相应的人身意外伤害保险。</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>（二）活动变更与取消规则：</strong>因甲方自身原因取消活动的，甲方必须承担由此产生的全部用户退款及相关责任。</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>（三）用户接待：</strong>甲方应为所有通过本平台报名的用户提供无差别、无歧视的优质服务。</span></p><p style="font-size:16px"><strong>（一）甲方通过在【搭+】小程序内注册并完成入驻认证，即可获得一个管理账号，并通过小程序内嵌的管理功能进行活动发布、订单管理、资金提现等操作。</strong><strong></strong></span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong>（二）甲方知悉并同意，【搭+】平台当前版本（1.0）暂不提供独立的商家端后台管理系统。</strong><strong></strong></span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px">（三）乙方计划在未来的版本（如2.0）中，为符合特定条件的、升级为主理人的机构/组织，开通功能更全面的独立商家端后台。届时，相关使用规则将以新的补充协议或平台公告为准。</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px">（四）甲方对以其账号进行的所有操作的后果承担全部责任。应妥善保管账号及密码，不得出借或转让。</span></p><p style="text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"> </span></p><p style="text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px"><strong><span style="line-height: 150%;">第八条 甲方权利义务</span></strong><strong></strong></span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px">（b）对于主办方设置为“不支持退款”的活动，除本协议另有约定外，您支付的费用将无法退还。</span></p><p style="text-indent:28px;text-autospace:ideograph-numeric;line-height:150%"><span style="font-size:16px">（c）对于主办方设置为“支持退款”或“有条件退款”的活动，您可在符合其公示条件的情况下，通过平台系统向主办方发起退款申请。</span></p><p
